Item 5.05 Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

On November 6, 2018, the Board of Directors of Cheniere Energy, Inc. (the “Company”) adopted and approved certain amendments to the Company’s Code of Business Conduct and Ethics (the “Code”). The changes to the Code, among other things: (i) clarified and revised provisions relating to conflicts of interest, political activities and use of Company assets, (ii) added provisions relating to gifts and entertainment and compliance with the Federal Energy Regulatory Commission Standard of Conduct, and (iii) updated other administrative and non-substantive matters.
